By accessing this website, placing an order, requesting a quote, submitting a design, paying a deposit, purchasing products or services, or otherwise engaging with Grasso Giocattoli, you agree to be bound by these Terms of Service.

2. Products and Services

Grasso Giocattoli provides custom manufacturing, laser engraving, personalization services, design services, prototyping, 3D printing, custom fabrication, and related products and services.

Due to the custom nature of many products, finished items may vary slightly from photographs, renderings, proofs, mockups, and product descriptions.

3. Quotes, Pricing, and Payment

Quotes are valid for thirty (30) days unless otherwise stated.

Prices are subject to change without notice.

Orders are not considered accepted until payment has been received and confirmed.

Grasso Giocattoli reserves the right to refuse or cancel any order at its discretion.

4. Deposits and Project Reservations

Certain projects may require a deposit.

All deposits are non-refundable.

Deposits compensate Grasso Giocattoli for reserving production capacity, design resources, project management time, engineering work, material procurement, and manufacturing preparation.

Payment of a deposit constitutes acceptance of these Terms.

5. Custom Orders

Custom, personalized, made-to-order, and prototype products are created specifically for the customer.

Customers are responsible for reviewing and approving all names, dates, dimensions, artwork, logos, specifications, and design proofs prior to production.

Customer-approved errors do not qualify for refunds, replacements, or returns.

Custom products are generally not eligible for cancellation, return, refund, or exchange.

6. Customer-Provided Content

Customers represent and warrant that they possess all necessary rights, licenses, permissions, and authorizations for any artwork, logos, photographs, trademarks, text, designs, or other materials submitted to Grasso Giocattoli.

The customer assumes full responsibility for submitted content.

The customer agrees to defend, indemnify, and hold harmless Grasso Giocattoli from any claims arising from the use of customer-provided materials.

7. Intellectual Property and Creative Rights

Unless expressly transferred through a separate written agreement signed by Grasso Giocattoli, all intellectual property created, developed, modified, designed, engineered, or produced by Grasso Giocattoli remains the sole and exclusive property of Grasso Giocattoli.

This includes, but is not limited to:

• Concepts

• Product designs

• CAD files

• Engineering drawings

• Manufacturing files

• Toolpaths

• Machine programming

• Artwork

• Renderings

• Prototypes

• Production methods

• Manufacturing processes

• Documentation

• Derivative works

Payment for products or services does not transfer ownership of intellectual property.

Customers receive a limited, non-exclusive license to use the purchased finished product for its intended purpose.

Grasso Giocattoli is under no obligation to provide source files, editable files, CAD models, production files, or manufacturing data unless specifically agreed to in writing.

No project shall be considered a work made for hire unless expressly stated in a separate written agreement.

8. Confidential Information

Any confidential information shared between Grasso Giocattoli and a customer shall remain confidential to the extent required by applicable agreements and law.

Separate confidentiality or non-disclosure agreements may impose additional obligations beyond these Terms.

9. Shipping and Delivery

Shipping estimates are provided for convenience only and are not guaranteed.

Once an order has been transferred to a shipping carrier, delivery times and transportation issues are outside the control of Grasso Giocattoli.

Customers are responsible for providing accurate shipping information.

Additional terms are governed by the Shipping Policy.

10. Returns and Refunds

Returns, refunds, exchanges, deposits, and warranty matters are governed by the Return & Refund Policy posted on this website.

By placing an order, customers agree to those policies.

11. Warranty Disclaimer

Except as expressly provided in writing, all products and services are provided "as is" and "as available."

Grasso Giocattoli disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement to the fullest extent permitted by law.

12. Limitation of Liability

To the fullest extent permitted by law, Grasso Giocattoli's total liability for any claim shall not exceed the amount paid by the customer for the specific product or service giving rise to the claim.

Grasso Giocattoli shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to lost profits, lost business opportunities, emotional distress, data loss, property damage, or business interruption.

13. Indemnification

Customers agree to defend, indemnify, and hold harmless Grasso Giocattoli, its owners, employees, contractors, affiliates, successors, and assigns from any claims, damages, liabilities, losses, costs, and expenses arising from:

• Customer-provided content

• Customer misuse of products

• Violation of these Terms

• Violation of applicable laws

• Infringement of third-party rights

14. Website Use

Customers agree not to:

• Use the website for unlawful purposes

• Attempt unauthorized access to systems or data

• Interfere with website functionality

• Upload malicious software

• Misrepresent identity or authority
